1.2 The participating business (“Local Hero”, “Participant”, “you” or “your”) is the business identified in the application or order confirmation.
1.3 By accepting these Terms & Conditions and placing an order, the Participant enters into a binding business-to-business agreement with Goal-Posts.
2. The Local Heroes United Programme
2.1 Local Heroes United is a three-year (36-month) advertising, promotional and community sponsorship programme designed to bring together local businesses to support grassroots football.
2.2 Each participating geographical area (“County”) has a maximum of 10 Local Hero business places.
2.3 The 10 participating businesses collectively support a grassroots football team selected through a competition organised by Goal-Posts.
2.4 Each Participant receives its own promotional benefits during the first year and forms part of the collective sponsorship and storytelling programme during the second and third years.
2.5 Participation does not provide exclusive advertising rights within a County or business sector. Advertising placements and sponsorship recognition are shared between participating businesses.
3. Programme Commencement and Duration
3.1 The Local Heroes United promotional programme in a County will commence only when all 10 Local Hero places in that County have been sold and confirmed.
3.2 The date on which Goal-Posts confirms that all 10 places have been sold shall be the Programme Commencement Date, unless Goal-Posts specifies a later commencement date in writing.
3.3 The 36-month promotional period begins on the Programme Commencement Date, not on the date an individual Participant applies, signs the agreement or makes its first payment.
3.4 The programme comprises:
- Year 1: Months 1–12 following the Programme Commencement Date.
- Year 2: Months 13–24 following the Programme Commencement Date.
- Year 3: Months 25–36 following the Programme Commencement Date.
3.5 No Participant is entitled to demand that the programme commence before all 10 County places have been sold.
3.6 If all 10 places have not been sold, the programme will remain pending, subject to the provisions in Clause 4.
4. County Activation and Unfilled Places
4.1 Goal-Posts will use reasonable commercial efforts to secure the 10 Participants required to activate each County.
4.2 Goal-Posts does not guarantee the date by which any particular County will reach 10 Participants.
4.3 If a County has not reached 10 confirmed Participants within 45 days of the Participant’s order acceptance, the Participant may cancel its participation by written notice and receive a refund of all programme fees paid for that County.
4.4 Goal-Posts may also cancel an unactivated County programme by written notice and refund all programme fees received from the affected Participant.
4.5 Where a County is cancelled before its Programme Commencement Date, neither party will have any further obligation under this agreement, except for obligations which expressly survive termination.
4.6 Goal-Posts may offer a Participant the opportunity to transfer to another available County, but any transfer requires the Participant’s agreement.
5. Year One – Advertising, Promotion and Competition
During the first 12 months of the programme, Goal-Posts will provide the following benefits.
5.1 – Grassroots Team Profile Advertising
The Participant’s business advertising will be distributed across eligible Goal-Posts grassroots football team profiles associated with the relevant County.
Advertising exposure will be shared between the 10 participating businesses.
5.2 – Relevant Directory and Listing Advertising
The Participant’s business will receive advertising exposure across relevant Goal-Posts directory and listing pages associated with the County, with placements shared between the 10 participating businesses.
5.3 – Dedicated Business Promotional Page
Goal-Posts will create and host a standalone branded Local Hero business page featuring agreed business information, branding and promotional content supplied by the Participant.
The page will form part of the Participant’s Local Heroes United promotional presence and will be used to support the programme’s subsequent community storytelling.
5.4 – Email Promotion
Goal-Posts will provide email promotional activity supporting Local Heroes United and its participating businesses during Year 1, using appropriate Goal-Posts email audiences.
The timing, format, content and distribution of email activity will be determined by Goal-Posts.
5.5 – Local Heroes United Competition
Goal-Posts will organise and promote a County-specific grassroots football competition during Year 1.
Promotion of this competition will include participant branding and references throughout.
The competition will run for approximately 12 months and will culminate in the selection of one eligible grassroots football team to receive a two-year sponsorship package.
The competition will be governed by separate competition rules, eligibility criteria and selection procedures published by Goal-Posts.
5.6 – Local Hero Recognition
The Participant may identify itself as a Local Heroes United participating business for its County and use approved Local Hero promotional badges and materials, subject to the brand-use provisions in these Terms.
5.7 – Promotional Delivery
Goal-Posts will determine the reasonable scheduling, layout, rotation and presentation of advertising placements to deliver the agreed shared promotional programme.
6. Year Two – Team Sponsorship and Community Promotion
6.1 During Year 2, the winning grassroots football team will receive the first season of its two-year sponsorship package, funded and coordinated by Goal-Posts.
6.2 All 10 participating Local Heroes will form part of the collective business sponsorship group supporting the winning team.
6.3 The anticipated team kit and clothing package comprises:
- 14 home playing kits;
- 14 away or training kits;
- 2 goalkeeper kits;
- 16 player tracksuits; and
- 3 coaches’ kits.
6.4 The final kit package, sizes, quantities, supplier, designs and branding arrangements will be determined by Goal-Posts in consultation with the winning team and relevant suppliers, taking account of availability and applicable football regulations.
6.5 Participating businesses will receive recognition within the agreed collective sponsorship arrangements. Specific kit branding positions are not guaranteed to any individual Participant.
6.6 Goal-Posts will produce and publish news-style content following the winning team’s progress, which may include team photographs, match or season developments, milestones, cup runs, community stories and other relevant updates.
6.7 Relevant sponsorship stories and updates will be incorporated into or linked from the Participant’s Local Hero business page.
7. Year Three – Continued Sponsorship and Storytelling
7.1 During Year 3, the winning team will receive the second season of the agreed sponsorship.
7.2 The Participant will remain part of the collective Local Heroes United sponsorship group, provided it has complied with these Terms.
7.3 Goal-Posts will continue publishing relevant news-style updates, photographs, team developments, achievements and community stories associated with the sponsored team.
7.4 Relevant content will continue to be incorporated into or linked from the Participant’s Local Hero business page.
7.5 The precise number, timing and nature of stories will depend on genuine team activity, access to suitable material, cooperation from the team and reasonable editorial considerations.
7.6 There are no additional Local Heroes United programme fees payable for Years 2 or 3.
8. Fees and Payment Options
8.1 The Participant may choose one of the following payment options:
Option A – Monthly Payments
12 monthly payments of £75 plus VAT, totalling £900 plus VAT.
Option B – Upfront Payment
A single payment of £750 plus VAT, covering the complete 36-month programme.
8.2 Both options purchase the same Local Heroes United programme benefits. The payment option does not change the Participant’s entitlement to the 36-month package.
8.3 Under Option A, the Participant makes a binding commitment to pay the full £900 plus VAT, payable in 12 instalments. This is not a month-to-month subscription that may be cancelled without liability for the remaining instalments.
8.4 The payment schedule begins on the date stated in the order confirmation. Unless otherwise agreed in writing, the first payment is due on acceptance of the order and subsequent payments fall due monthly thereafter.
8.5 Payments made before the Programme Commencement Date are payments towards the full package and do not cause the 36-month promotional period to begin early.
8.6 All prices are exclusive of VAT, which will be charged at the applicable rate.
9. Missed Payments, Acceleration and Forfeiture
9.1 If a monthly payment is not received on its due date, Goal-Posts may issue a written payment-default notice to the Participant.
9.2 The Participant will have 7 calendar days from receipt of that notice to bring its account fully up to date.
9.3 If the overdue amount has not been paid within that seven-day period, the entire remaining unpaid balance of the Participant’s £900 plus VAT contractual commitment will immediately become due and payable.
9.4 Goal-Posts will issue written confirmation of the accelerated balance due.
9.5 If the Participant fails to pay that accelerated balance within a further 14 calendar days from receipt of the acceleration notice, Goal-Posts may terminate the Participant’s entitlement to all remaining Local Heroes United benefits.
9.6 Such forfeiture may include the removal or discontinuation of advertising placements, business promotional pages, Local Hero status, promotional badges, sponsorship recognition and any future benefits otherwise available under the programme.
9.7 Termination or forfeiture of benefits under this clause does not release the Participant from liability for the outstanding contractual balance, which will remain payable to Goal-Posts.
9.8 Goal-Posts reserves the right to pursue lawful recovery of overdue amounts, including any interest or recovery costs recoverable under applicable law.
9.9 Nothing in this clause prevents Goal-Posts from agreeing an alternative payment arrangement in writing at its discretion.
10. Cancellation by the Participant
10.1 Once the Participant’s order has been accepted, the Participant is committed to the complete programme fee, subject to the cancellation rights expressly provided in these Terms and any rights that cannot lawfully be excluded.
10.2 A Participant paying monthly may not cancel its remaining instalments simply because it no longer wishes to participate, changes its marketing strategy or ceases to use the promotional benefits.
10.3 A change of business ownership, trading name, premises or trading circumstances does not automatically cancel the Participant’s payment obligations.
10.4 A Participant wishing to transfer its participation to another business must obtain Goal-Posts’ prior written consent.
11. Business Content and Branding
11.1 The Participant must provide suitable business details, logos, images, website links and other information reasonably required to create its promotional materials.
11.2 The Participant warrants that it has the right to supply and authorise the use of all materials provided.
11.3 The Participant grants Goal-Posts a non-exclusive, royalty-free licence to use its supplied business name, trademarks, logos and promotional materials for the purpose of delivering and publicising the Local Heroes United programme.
11.4 Goal-Posts may refuse or remove content that is unlawful, misleading, offensive, infringes third-party rights or is otherwise unsuitable for a grassroots football audience.
11.5 Goal-Posts retains ownership of its own trademarks, programme names, artwork, website content and promotional designs.
11.6 The Participant may use official Local Heroes United accreditation artwork during its valid participation, without materially altering the artwork or suggesting an endorsement beyond its actual programme status.
11.7 The Participant must stop using Local Hero accreditation materials if its participation is terminated or its benefits are forfeited.
12. Competition and Winning Team
12.1 Goal-Posts will administer the team competition under separate published rules.
12.2 The winning team will be selected from eligible entrants using the selection method specified in those rules.
12.3 Participating businesses do not acquire a right to choose the winning team or influence the competition outcome.
12.4 The winning team must satisfy reasonable eligibility, safeguarding, permissions, supplier and administrative requirements before receiving its sponsorship package.
12.5 If the selected team is unable or unwilling to participate, Goal-Posts may select an alternative eligible team in accordance with the published competition rules.
13. Promotional Performance and Availability
13.1 Goal-Posts will use reasonable care and skill in delivering the programme.
13.2 The Participant acknowledges that advertising and promotional outcomes depend on factors outside Goal-Posts’ control.
13.3 Goal-Posts does not guarantee any particular number of website visits, advertising impressions, enquiries, leads, sales, email opens or commercial results.
13.4 Any published website audience, directory or email subscriber figures are indicative figures that may change during the programme.
13.5 Goal-Posts may make reasonable changes to placement formats, website layouts, promotional schedules or delivery methods where necessary, provided the overall nature and material value of the agreed programme are maintained.
13.6 Goal-Posts may temporarily interrupt website or promotional services for maintenance, security or operational reasons and will take reasonable steps to restore affected services.
14. Changes, Delays and Events Outside Our Control
14.1 Goal-Posts will not be responsible for delays caused by events beyond its reasonable control, including major technology failures, supplier disruption, changes in football regulations, serious illness, extreme weather or the cancellation of grassroots football activities.
14.2 Goal-Posts will take reasonable steps to minimise disruption and resume delivery where practicable.
14.3 Where a material part of the programme cannot be delivered, Goal-Posts will seek to agree an appropriate alternative, replacement benefit, extension or proportionate remedy with the affected Participant.
14.4 Nothing in these Terms removes the Participant’s rights or remedies for a material breach by Goal-Posts where those rights cannot lawfully be excluded.
15. Liability
15.1 Goal-Posts is not responsible for the Participant’s loss of anticipated profit, business opportunities or sales arising solely from the absence of any guaranteed promotional result.
15.2 Subject to Clause 15.3 and applicable law, Goal-Posts’ total liability arising under this agreement will not exceed the total programme fees paid or payable by the Participant under the relevant order.
15.3 Nothing in these Terms limits or excludes liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any liability that cannot lawfully be limited or excluded.
16. Data Protection
16.1 Each party will comply with applicable UK data protection legislation in relation to personal data processed under this agreement.
16.2 Goal-Posts may process business contact details and other relevant personal data for contract administration, programme delivery and communications, as described in its applicable privacy notice.
16.3 Any direct marketing communications will be conducted in accordance with applicable data protection and electronic marketing requirements.
17. Notices and Communications
17.1 Notices under these Terms must be sent in writing, including by email to the contact details most recently supplied by the relevant party.
17.2 The Participant is responsible for keeping its contact and billing information up to date.
17.3 Payment-default and acceleration notices must clearly state the amount due, the relevant deadline and the consequences of non-payment.
18. General
18.1 This agreement, together with the Participant’s accepted order confirmation and any expressly incorporated documents, constitutes the agreement between the parties.
18.2 Any amendment to the commercial terms must be agreed in writing.
18.3 If any provision is held to be invalid or unenforceable, the remaining provisions will continue in effect to the extent permitted by law.
18.4 A failure or delay by Goal-Posts to enforce any right does not constitute a waiver of that right.
18.5 No third party has a right to enforce these Terms under the Contracts (Rights of Third Parties) Act 1999, except where expressly agreed in writing.
18.6 This agreement is governed by the laws of England and Wales, and the courts of England and Wales shall have jurisdiction over disputes arising from it.
